Independent Contractor Agreement

This Independent Contractor Agreement ("Agreement") is entered into as of 2026-08-06 ("Effective Date"), by and between [Client name], located at [Client address] ("Client"), and [Contractor name], located at [Contractor address]("Contractor").

1. Services

[Contractor name] ("Contractor") agrees to perform the following services for [Client name] ("Client") (the "Services"): [description of services]

2. Payment

As full compensation for the Services, Client agrees to pay Contractor [payment amount]. Payment terms: Due upon completion of the Services.

3. Independent Contractor Relationship

Contractor is an independent contractor, not an employee, agent, or partner of Client. Contractor is solely responsible for all applicable taxes, insurance, and benefits. This Agreement does not create an employment relationship between the parties, and Contractor has no authority to bind Client to any obligation.

4. Term and Termination

This Agreement begins on 2026-08-06 and continues until the date the Services are completed, unless earlier terminated by either party upon 14 days' written notice. Either party may terminate immediately for material breach that remains uncured after 10 days' written notice.

5. Confidentiality

Contractor agrees to keep confidential all non-public information disclosed by Client in connection with this Agreement, and not to use or disclose such information except as necessary to perform the Services.

6. Ownership of Work Product

All deliverables, work product, and materials created by Contractor specifically for Client under this Agreement ("Work Product") shall be the sole property of Client upon full payment. Contractor assigns all right, title, and interest in the Work Product to Client, except for Contractor's pre-existing tools, methods, and materials.

7. Indemnification

Each party agrees to indemnify and hold the other harmless from claims, damages, and expenses arising from its own negligence, willful misconduct, or breach of this Agreement.

8. Limitation of Liability

Neither party shall be liable to the other for indirect, incidental, or consequential damages arising from this Agreement.

9. Governing Law

This Agreement shall be governed by the laws of the State of [State], without regard to its conflict of laws principles.

10. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions or agreements, written or oral, relating to its subject matter. It may only be amended in writing signed by both parties.
